Ancillary Revenue Arrangements for Physicians
This presentation focuses on regulatory and transactional considerations associated with physician participation in ancillary service revenue arrangements from the perspective of physicians, including “under arrangements” models with hospitals, use of session leases for part-time sharing of ancillary services centers, rural joint ventures and specialty hospitals, and the efforts of the government to limit such arrangements.
A Survival Guide for Protecting the Health Care Professional's Reputation
This presentation covers the Health Care Quality Improvement Act, including the National Practitioner Data Bank. It reviews the various mandatory reporting laws that affect physicians, including the Pennsylvania MCARE Act. Medical staff issues, credentialing, corrective action and due process considerations are discussed. The use and limitations of the Peer Review Protection Act are covered. Finally, recommendations are provided concerning a malpractice defense strategy. While this talk is designed for physicians in training, it provides an overview of the laws and regulations that become relevant during State Board or Medical Staff disciplinary proceedings.
Employment Agreements for Associate Physicians/Dentists
This presentation encompasses all the issues that arise in drafting and negotiating an employment agreement for a new physician/dentist. It may either be from the perspective of the employee, the employer or both. We usually review a sample contract.


Guidance for Responding to Subpoenas, Court Orders and Government Investigations
This presentation informs health care professionals about the various types of subpoenas that are issued and the level of concern that is involved in each type. Suggestions are given on when and how to respond to the subpoenas and the privileges that may apply to confidential documents. The consequences to professionals who produce material without having appropriate releases or consent forms signed are also covered. Finally, general advice is provided about the issues involved in responding to court orders, requests by government investigators for statements and actions to take and not to take during the execution of a search warrant.

Partnerships/Buy-in/Buy-out Transactions
This presentation discusses the issues involved in negotiating a partnership deal from the perspective of the junior partner, senior partner or both. We usually review a sample contract and discuss the buy-in, net income division, buy-out and governance issues.


Personnel Negotiator for Health Care Professionals
This presentation focuses on how to be a better negotiator whether it relates to negotiating a contract, dealing with personnel, or arriving at a number to settle a dispute or consummate a transaction. Among the areas to be addressed will be the importance of preparation, when to talk and when to stop talking, and prioritizing the outcomes being sought.

Stark II and Fraud and Abuse Primer
This presentation focuses on an exploration of the basic prohibitions and exceptions contained in the federal Stark II Legislation and the federal Anti-Kickback Statute. If desired, this presentation can be focused on particular issues of interest within the foregoing laws.
